1 Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Deshwali Minerals ("Company", "we", "us", or "our") governing your use of the Deshwali Minerals Business Suite, including all its modules, features, and AI-powered tools.

By creating an account, accessing the Platform, or using any of our services, you confirm that:

• You are at least 18 years of age.
• You are authorised to act on behalf of a registered business entity.
• You have read, understood, and agreed to these Terms.
• You have the authority to bind your business to these Terms.

2 Description of Services

Deshwali Minerals provides a cloud-based ERP platform designed specifically for the lime manufacturing industry, including the following modules:

• GST Billing and E-Invoice (IRN) generation
• E-Way Bill creation and management
• Kiln production and labour tracking
• Banking and Profit & Loss (P&L) dashboards
• Petcoke ITC (GST input credit) tracking
• TDS tracking and advanced reporting (Phase 4)
• AI-powered assistant for invoice automation and GST compliance (powered by Claude/Anthropic)

We reserve the right to modify, suspend, or discontinue any feature or module with reasonable notice to users.

3 Account Registration

To use the Platform, you must register an account by providing accurate and complete information, including:

• Business name and GSTIN
• Authorised contact person's name and mobile number
• Valid email address

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Notifying us immediately at info@deshwaliminerals.com of any unauthorised use.

We reserve the right to suspend or terminate accounts found to be providing false information.

4 Subscription and Payments

Access to the Platform is provided under subscription plans. The following payment terms apply:

• Subscription fees are billed in advance on a monthly or annual basis as selected.
• All fees are exclusive of applicable taxes (GST as per Indian law).
• Payments are non-refundable except as explicitly stated in our Refund Policy.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.
• Failure to pay may result in suspension of access to the Platform.

5 Acceptable Use

You agree to use the Platform only for lawful business purposes. You must not:

• Use the Platform to generate fraudulent, fake, or fictitious GST invoices.
• Attempt to circumvent, hack, or gain unauthorised access to any part of the system.
• Upload malicious code, viruses, or harmful content.
• Use the Platform in a way that violates the GST Act 2017, Income Tax Act, or any other applicable Indian or UAE law.
• Share your account credentials with unauthorised persons.
• Reverse-engineer, copy, or resell any part of the Platform without written consent.

Violation of acceptable use terms may result in immediate account termination and legal action.

6 GST Compliance Disclaimer

You acknowledge and agree that:

• You are solely responsible for the accuracy of all data entered into the Platform.
• Final responsibility for GST compliance, return filing, and tax payments rests with you and your authorised tax representative.
• Deshwali Minerals is not liable for any penalties, interest, or notices arising from incorrect data entry, late filing, or misuse of the Platform.
• AI-generated HSN code suggestions and GST type detections should be verified by a qualified professional before use.
• E-Invoice (IRN) and E-Way Bill generation is dependent on the availability of the Government of India's NIC/GSTN portals, over which we have no control.

7 AI Features

The Platform incorporates AI capabilities powered by Anthropic's Claude API. Regarding AI features:

• AI-generated outputs (invoice auto-fill, HSN suggestions, GST type detection) are provided as assistance tools and must be reviewed and confirmed by the user before submission.
• We do not guarantee 100% accuracy of AI-generated content.
• Business data processed by the AI is subject to Anthropic's data processing terms in addition to our Privacy Policy.
• AI features may be updated, modified, or temporarily unavailable without prior notice.

8 Data Ownership

You retain full ownership of all business data you enter into the Platform, including invoices, party records, financial data, and production records.

• You may export your data at any time in available formats (CSV, PDF).
• Upon account termination, you have 30 days to export your data before it is deleted.
• We do not claim any ownership rights over your business data.
• By using the Platform, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing the services described in these Terms.

9 Intellectual Property

All intellectual property rights in the Platform — including software, design, code, logos, trademarks, and content — are owned by or licensed to Deshwali Minerals.

• You may not copy, reproduce, distribute, or create derivative works from any part of the Platform.
• The "Deshwali Minerals" name and logo are trademarks of the Company.
• Feedback and suggestions you provide may be used by us to improve the Platform without obligation to you.

10 Limitation of Liability

To the maximum extent permitted by applicable law:

• Deshwali Minerals shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability to you for any claims arising from use of the Platform shall not exceed the subscription fees paid by you in the 3 months preceding the claim.
• We are not responsible for losses resulting from government portal downtime, internet outages, or force majeure events.
• We are not liable for any GST penalties, tax demands, or regulatory actions arising from your use or misuse of the Platform.

11 Termination

Either party may terminate the agreement as follows:

• By You: You may cancel your subscription at any time from your account settings. Access continues until the end of the paid billing period.
• By Us: We may suspend or terminate your account immediately for breach of these Terms, non-payment, or fraudulent use — with or without prior notice depending on the severity.
• Upon termination, you must cease using the Platform and export your data within 30 days.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. For users based in the UAE, applicable UAE Commercial Law shall apply to the extent required by local regulation.

The courts of Jaipur, Rajasthan, India shall have exclusive jurisdiction over any disputes arising from these Terms, unless otherwise required by applicable law.

13 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform:

• Step 1 — Informal Resolution: Contact us at info@deshwaliminerals.com. We will attempt to resolve the matter within 30 days.
• Step 2 — Arbitration: If informal resolution fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Jaipur, Rajasthan.
• Step 3 — Courts: If arbitration is not applicable, disputes shall be submitted to the exclusive jurisdiction of the courts in Jaipur, India.

14 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via:

• Email notification to your registered email address, at least 14 days before changes take effect.
• In-app notification when you next log in.

Continued use of the Platform after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account before the effective date.
